General Information About Forming a Professional Corporation or PLLC

Any licensee of the North Carolina Psychology Board (i.e., a Licensed Psychologist, a provisionally Licensed Psychologist, or a Licensed Psychological Associate) may apply for a Certificate of Registration of Professional Corporation or Professional Limited Liability Company. Application forms and instructions may be downloaded from this web site. The Board’s application process is as follows:

Before submitting Articles of Incorporation or Organization to the Secretary of State’s office, you must obtain a Certification of Application from the Psychology Board as explained below. Refer to the instruction sheets for further information about completing the applications and if planning a joint formation between other approved professional groups.

1) An applicant must complete an application and return it to the Board along with a $50 application fee and a copy of the Articles of Incorporation (Professional Corporation) or Articles of Organization (Professional Limited Liability Company).  Please note that there are separate application forms for individuals forming a Professional Corporation and for those forming a Professional Limited Liability Company. Once the application and fee have been processed, a Certification of Application will be returned to the applicant to be used for filing with the Secretary of State’s office along with the Articles of Incorporation or Organization. (NOTE: This form is NOT the Certificate of Registration.)

2) After the Secretary of State’s office has approved the Articles of Incorporation or Articles of Organization, a certified copy showing the Secretary of State’s seal must be sent to the Psychology Board.

3) Upon receipt by the Board of the certified copy of the Articles of Incorporation or Articles of Organization, a Certificate of Registration will be issued to the applicant. Pursuant to G.S. § 55B-10, “No professional corporation shall open, operate, or maintain an establishment for any of the purposes set forth in this Chapter without first having obtained a certificate of registration from the licensing board or boards.”
